YOU ARE HEREBY NOTIFIED that on November 16, 2011, at 9:00 o’clock a.m. at the Lumpkin County Judicial Center, 325 Riley Road, Dahlonega, Georgia 30533, a presiding Judge of the Superior Court of Lumpkin County will hear the case of STATE OF GEORGIA vs. DEVELOPMENT AUTHORITY OF LUMPKIN COUNTY, GEORGIA and KOYO BEARINGS USA LLC, Civil Action File No. 11-CV-740-DB in the Superior Court of Lumpkin County, the same being a proceeding to confirm and validate a Taxable Industrial Development Revenue Bond (Koyo Bearings USA LLC Project), Series 2011 (the ABond@), in a maximum principal amount of $50,000,000, to be issued by the Development Authority of Lumpkin County, Georgia (the AIssuer@) pursuant to the terms of a resolution adopted by the Issuer in order to promote and expand for the public good and welfare, industry and employment opportunities within Lumpkin County. The Bond is to be issued for the purpose of acquiring improvements to an existing facility and new equipment (the AExpansion@) to be located in Lumpkin County, and to be leased to Koyo Bearings USA LLC, a Delaware limited liability company (the ACompany@), for use by the Company in its roller bearing manufacturing business. It is not feasible for the Issuer to acquire only the Expansion due to the nature of the Expansion; therefore, the land and the improvements comprising the Company=s existing facility in the County are being acquired by the Issuer; however, only the Expansion will be acquired with proceeds of the Bond. In such proceeding, the Court will also (a) hear and determine the validity of instruments relating to and providing security for the Bond, and (b) hear and determine such other questions of law and fact pertaining to the right of the Issuer to issue the Bond and to provide the security therefor. The Bond shall be a special and limited obligation of the Issuer, payable from funds provided by the Company or its successors, shall not be payable from taxes or other public funds, and no performance audit or performance review shall be conducted with respect to such bond issue.
